Terms of Service

1. Acceptance of terms

By accessing or using OmniRank (the "Service") at omnirank.net, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via email and an in-app notice with at least 14 days' notice before taking effect. Continued use after the effective date constitutes acceptance.

2. Service description

OmniRank is an automated SEO and Large Language Model Optimisation (LLMO) platform that helps website owners and agencies improve their search engine and AI platform rankings. The Service includes, but is not limited to: automated site audits, on-page SEO analysis, technical SEO recommendations, content generation, rank tracking, backlink monitoring, and AI visibility scoring.

3. Eligibility

You must be at least 18 years old to use the Service. By creating an account you represent that you meet this requirement. If you are a minor in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms.

4. Account terms

4.1 Account accuracy

You agree to provide accurate, current, and complete information when registering and to keep your account information updated. Providing false information (including during free trial sign-ups) is grounds for immediate account termination.

4.2 Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at hello@omnirank.net if you suspect unauthorised access. OmniRank will not be liable for any loss resulting from unauthorised use of your account.

4.3 One account per person

Each free trial is limited to one account per individual and one account per organisation. Creating multiple accounts to circumvent trial limits is a violation of these Terms and will result in all accounts being terminated.

5. Acceptable use

You agree NOT to use the Service to:

• Scrape, crawl, or harvest data from OmniRank in a way that disrupts or overloads our infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or sublicense the Service to third parties without a valid white-label add-on agreement
• Use the Service to send spam, unsolicited messages, or misleading communications
• Use generated content to create disinformation, manipulate public opinion, or spread malware
• Conduct SEO activities for websites promoting illegal goods, hate speech, child exploitation material, or content that otherwise violates applicable law
• Attempt to gain unauthorised access to other users' accounts or OmniRank's internal systems
• Use the API in a way that exceeds your plan's rate limits or documented usage policies
• Represent AI-generated content as original human writing without appropriate disclosure

We reserve the right to terminate or suspend any account found to be in violation of these rules without notice or refund.

6. Plans and billing

6.1 Plans

OmniRank offers the following subscription plans (prices in USD, billed monthly unless annual billing is selected):

6.2 Free trial

All plans include a 14-day free trial with no credit card required. At the end of the trial, you must add a payment method to continue using the Service. Accounts without a payment method after the trial period are downgraded to read-only access.

6.3 Payment

Subscriptions are billed in advance. Your card will be charged on the same day each month (or year for annual plans). All payments are processed securely by Stripe or PayPal. You authorise us to charge your stored payment method for recurring fees.

6.4 Price changes

We will give at least 30 days' notice before changing subscription prices. Price changes will not affect the current billing period — they take effect on the next renewal date after the notice period has elapsed.

7. Refund policy

7.1 First-time charge refund

If you are charged for the first time after your free trial and have run fewer than 3 audits, you may request a full refund within 7 days of that first charge by emailing hello@omnirank.net with the subject "Refund request".

7.2 Monthly plans

No refunds are issued for the current billing period on monthly plans. If you cancel, your subscription remains active until the end of the paid period, after which access is revoked. No partial or pro-rata refunds are provided for unused days.

7.3 Annual plans

For annual subscriptions, a pro-rata refund for unused complete months is available if you cancel within 30 days of your annual renewal date. No refund is available after 30 days from renewal. The pro-rata amount is calculated as: (months remaining ÷ 12) × annual plan price.

7.4 White-label add-on

The white-label add-on is non-refundable once a custom domain has been configured and activated, as domain setup involves manual infrastructure work on our part.

7.5 No refunds for violations

No refunds will be issued if your account has been suspended or terminated due to a violation of these Terms, including API abuse, creation of duplicate trial accounts, or other misuse.

8. White-label terms

The white-label add-on grants Agency plan subscribers a limited, non-exclusive, non-transferable licence to offer the OmniRank platform to their own clients under a custom brand identity. The following conditions apply:

• You may not represent the white-label platform as software you have built yourself
• You may set your own pricing to your clients, but you remain responsible for all payments to OmniRank
• You must comply with all applicable laws when marketing and billing your clients
• You may not create sub-resellers (you cannot resell the right to resell)
• OmniRank reserves the right to audit your white-label deployment for compliance
• If your OmniRank account is suspended, all white-label client access is suspended immediately

9. API terms

Access to the OmniRank REST API is available on Pro and Agency plans. By using the API you agree to:

• Keep your API keys confidential — do not embed them in client-side code or public repositories
• Respect all documented rate limits (per-minute and per-day limits apply per API key)
• Not use the API to mirror, replicate, or build a competing SEO data service
• Not sell raw API response data to third parties
• Accept that API access may be throttled or suspended if abuse is detected

We reserve the right to revoke API keys immediately if we detect abuse without issuing a refund for the unused subscription period.

10. Data ownership and processing

Your data belongs to you. You retain all ownership rights to the data you input into the Service, including your website content, analytics data, and any content generated using OmniRank tools at your direction.

By using the Service you grant OmniRank a limited, non-exclusive licence to process your data solely to provide the Service to you. We do not use your data to train our AI models without explicit consent, and we do not sell your data to third parties.

You represent and warrant that you have the right to submit to the Service any data you input, and that doing so does not infringe any third party's intellectual property rights or privacy rights.

11. AI-generated content

OmniRank uses large language models to generate SEO recommendations, content drafts, and optimisation suggestions. You acknowledge that:

• AI-generated content may contain inaccuracies and should be reviewed by a human before publication
• You are solely responsible for any content published on your website, regardless of whether it was generated by OmniRank
• OmniRank makes no warranty that AI-generated content will improve your search rankings
• You agree to use AI-generated content in compliance with all applicable laws and platform guidelines

12. Intellectual property

The OmniRank platform, its software, design, trademarks, and documentation are the intellectual property of OmniRank. You may not copy, modify, distribute, or create derivative works based on OmniRank's intellectual property without express written permission.

13. Availability and service levels

We aim to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We perform scheduled maintenance (typically during low-traffic periods) with advance notice where possible. For planned downtime of more than 2 hours, we will notify customers at least 24 hours in advance.

14. Limitation of liability

To the maximum extent permitted by applicable law, OmniRank and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of rankings, or business interruption, arising out of or in connection with the use of the Service.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100.

Some jurisdictions do not allow limitation of liability for certain types of loss. In such jurisdictions, the above limitation applies to the fullest extent permitted by law.

15. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service will meet your specific requirements or improve your search rankings.

16. Indemnification

You agree to indemnify and hold harmless OmniRank and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third party's rights.

17. Termination

You may cancel your subscription at any time from Dashboard → Settings → Billing. Cancellation takes effect at the end of the current billing period.

OmniRank may suspend or terminate your account immediately without notice if you: (a) materially breach these Terms; (b) fail to pay fees when due; (c) engage in fraudulent or illegal activity using the Service. Upon termination, your right to access the Service ceases. Data deletion follows the schedule in our Privacy Policy (7-day cooling-off period).

18. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your jurisdiction provides otherwise.

We encourage you to contact us at hello@omnirank.net before commencing any legal action. We will endeavour to resolve disputes informally within 30 days.

19. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force. The failure of OmniRank to enforce any right or provision does not constitute a waiver of that right. These Terms constitute the entire agreement between you and OmniRank regarding the Service and supersede any prior agreements.
